indie Semiconductor to Acquire emotion3D to Advance Embedded Perception Capabilities for ADAS and Autonomous Driving

indie Semiconductor (INDI) is bolstering its position in the automotive technology market with the acquisition of emotion3D GmbH, an Austria-based developer of AI-powered perception software used in in-cabin sensing and advanced driver assistance systems (ADAS). The deal strengthens indie’s software portfolio as demand rises for co-optimized hardware-software solutions across the automotive industry.

The acquisition, expected to close in Q4 2025, includes $20 million in cash at closing and up to $10 million in performance-based earnouts through February 2027. The transaction is anticipated to be immediately accretive.

emotion3D’s perception platform has been deployed by leading global Tier 1 suppliers and OEMs, providing driver and occupant monitoring systems, and is already in advanced development for external sensing applications such as sensor fusion and nighttime forward vision. The company’s machine learning framework, built on synthetic data and a multi-task neural network architecture, enables efficient model training and adaptability across use cases with lower compute requirements.

With automotive software projected to grow to an $83 billion market by 2030 and more than half of it tied to ADAS and automated driving, indie sees the acquisition as a way to accelerate its embedded vision and radar strategy. Combining emotion3D’s AI algorithms with indie’s in-house silicon enables the company to offer high-margin, integrated solutions to automakers.
